Terms of Service

These terms govern your use of the Quorum website (quorum.meffecta.com) and the Quorum software provided by Meffecta AB. By using either, you agree to these terms. If you don't agree, please don't use them.

1. Who we are

Quorum ("the Service", "the Software") is provided by Meffecta AB, a company registered in Sweden ("we", "us", "our"). You can reach us through our contact page.

2. What Quorum is

Quorum is command-line software that boots an autonomous organization of AI agents on your own machine. You give it a mission and a budget; it decomposes goals, coordinates agents, and can take actions on your behalf, including through tools and integrations you configure. You direct and supervise it through its configuration, permissions, and dashboard.

3. License to use the Software

Quorum is proprietary software. Subject to these terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software for your own lawful purposes. Except to the extent applicable law says otherwise, you may not:

  • redistribute, resell, sublicense, or host the Software as a service to others;
  • reverse-engineer, decompile, or disassemble the Software, or attempt to derive its source code;
  • remove or alter any proprietary notices; or
  • use the Software to build a competing product.

We retain all rights, title, and interest in the Software, the website, and their content that are not expressly granted to you.

4. Acceptable use

You agree not to use the Service to:

  • break any applicable law or regulation, or infringe anyone's rights;
  • generate or distribute unlawful, harmful, deceptive, or abusive content, or to harass or harm others;
  • attempt to gain unauthorized access to any system, or interfere with the integrity or performance of the Service or others' systems; or
  • violate the terms of any third-party service, model provider, or integration you connect to Quorum.

5. Your responsibilities for what the org does

Because Quorum acts autonomously, you are responsible for what your organization does under your direction. In particular, you are responsible for:

  • the mission, permissions, budgets, and tools you grant — an agent can only do what you allow it to;
  • reviewing and supervising the actions your agents take, especially any that send communications, spend money, or change external systems; and
  • the credentials, data, and third-party accounts you connect, and complying with those services' terms.

6. Third-party services and costs

Quorum drives an agent "brain" and other integrations that youconfigure using your own accounts and API keys — for example Anthropic's Claude or another model provider. Any usage, fees, rate limits, and data handling associated with those services are strictly between you and that provider, under their terms. You are solely responsible for all costsincurred through your use of such providers. Quorum provides budgeting and cost controls as a convenience, but does not guarantee they will prevent all spend, and we are not responsible for charges from third parties.

7. AI output

Quorum coordinates AI models that produce text, code, decisions, and actions. Such output can be inaccurate, incomplete, or unsuitable for your purpose, and may be similar to output produced for others. You should independently review and verify any output — and especially any consequential action — before relying on it. You are responsible for how you use the output.

8. Website

The website is provided for information about the Service. We may change, add, or remove content and features at any time. The install command shown on the site is provided as-is, and downloading or installing the Software is subject to these terms.

9. Disclaimer of warranties

The Service and Software are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. Nothing in these terms limits any rights you have as a consumer under mandatory law.

10. Limitation of liability

To the fullest extent permitted by law, Meffecta AB will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service — including any costs incurred with third-party providers or any actions taken by autonomous agents. To the extent we are found liable, our total aggregate liability will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or EUR 100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

11. Indemnification

You agree to indemnify and hold Meffecta AB harmless from any claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these terms, or your violation of any law or third-party right.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service or website if you breach these terms or use the Service in a way that risks harm to others or to us. Provisions that by their nature should survive termination — including sections 3, 9, 10, and 11 — will survive.

13. Changes to these terms

We may update these terms as the product evolves. When we do, we'll revise the "last updated" date above. Your continued use of the Service after a change means you accept the updated terms.

14. Governing law

These terms are governed by the laws of Sweden, without regard to its conflict-of-law rules, and disputes will be subject to the exclusive jurisdiction of the Swedish courts. This does not deprive you of any protection granted by mandatory consumer-law provisions of the country where you live.
